Welcome to Aluma Health Inc. (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Aluma Health website, applications, telehealth systems, AI systems, SMS communications, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be legally bound by these Terms.
1. Nature of Services
Aluma Health provides mental health care services with corporate headquarters located in the State of California, including:
- Therapy delivered by licensed mental health professionals
- AI-assisted therapeutic support (“AI Therapist”)
- Psychiatric oversight of treatment plans and AI-generated recommendations
Services may include telehealth sessions, digital therapeutic tools, secure messaging, and SMS communications.
All clinical services are provided in compliance with applicable California healthcare regulations.
2. Medical & Emergency Disclaimer
Aluma Health provides behavioral healthcare services. However:
- The AI Therapist is a clinical support tool and does not independently diagnose, prescribe, or replace licensed medical judgment.
- A licensed psychologist reviews treatment plans where clinically required.
- Services are not emergency services.
If you are experiencing a medical or psychiatric emergency, call 911 or 988 immediately.
3. Eligibility
To use the Services, you must:
- Be at least 18 years old (or have lawful guardian consent)
- Be physically located in California at the time of receiving clinical services
- Provide accurate registration information
4. Provider–Patient Relationship
A provider–patient relationship is established only after:
- Completion of required intake documentation
- Acceptance by a licensed provider
Interaction with the AI Therapist alone does not create a provider–patient relationship.
5. AI Therapist Disclosure
You acknowledge:
- AI outputs are generated algorithmically and may contain inaccuracies.
- AI recommendations are reviewed by licensed psychiatric professionals where clinically required.
- AI tools supplement but do not replace professional clinical judgment.
6. Telehealth Consent
You consent to receiving healthcare services via telehealth technologies, including:
- Video conferencing
- Secure messaging
- AI-based therapeutic tools
- SMS/text communications (if opted in)
You understand that telehealth carries risks including technical failures and data transmission vulnerabilities.
7. SMS / Text Messaging Terms (California & Federal Compliance)
Aluma Health uses Twilio as its secure messaging platform provider to facilitate SMS communications.
7.1 Express Consent (TCPA Compliance)
By opting in to SMS communications, you provide express consent to receive text messages from Aluma Health.
- Consent is voluntary.
- Consent is not a condition of receiving healthcare services.
- Message frequency varies.
- Message and data rates may apply.
- You may opt out at any time by replying STOP.
Consent is maintained as a direct 1:1 agreement between you and Aluma Health.
7.2 No Sale or Transfer of Mobile Data
Aluma Health does not sell, rent, lease, transfer, or share:
- Mobile phone numbers
- SMS opt-in data
- Text messaging originator consent
- Consumer messaging preferences
for marketing or promotional purposes.
Opt-in consent cannot be sold, assigned, transferred, or shared with third parties or affiliates for independent marketing use.
7.3 Prohibition on Sharing Consent Data
The above excludes text messaging originator opt-in data and consent; this information will not be shared with any third parties.
7.4 Limited Operational Sharing
Mobile information may be shared only with service providers that assist in delivering our services, including our SMS infrastructure provider, Twilio.
Such service providers:
- Act solely on our behalf
- Are contractually restricted from using data for marketing
- May not sell or transfer mobile data
- May not contact users independently
- May not transfer opt-in consent
Mobile information is processed solely for operational service delivery purposes.
7.5 Consent Integrity & Non-Transferability
Consent:
- Is strictly between the consumer and Aluma Health
- Cannot be transferred
- Cannot be sold
- Cannot be bundled or shared
- Cannot be assigned to another entity
Aluma Health maintains consent records consistent with federal and California law.
8. Privacy & California Consumer Rights
Aluma Health complies with:
- HIPAA (where applicable)
- The California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA)
- The California Confidentiality of Medical Information Act (CMIA)
We do not sell personal information, including mobile numbers or health data.
California residents may have rights to:
- Access personal information
- Request correction
- Request deletion (subject to healthcare record retention laws)
- Limit use of sensitive personal information

9. Payment & Billing
You agree to pay all fees associated with Services. Insurance reimbursement is not guaranteed.
10. Acceptable Use
You agree not to misuse the Services, attempt unauthorized access, or engage in unlawful conduct.
11. Intellectual Property
All AI systems, software, branding, and platform content are owned by Aluma Health and protected by law.
12. Limitation of Liability
To the fullest extent permitted under California law:
- Aluma Health is not liable for indirect, incidental, or consequential damages.
- Liability is limited to the amount paid for Services in the preceding 12 months.
Nothing herein limits liability where prohibited by law, including professional malpractice.
13. Indemnification
You agree to indemnify Aluma Health for misuse of Services or violation of these Terms.
14. Termination
We may suspend or terminate Services for:
- Violations of these Terms
- Safety risks
- Clinical inappropriateness
15. Arbitration & Dispute Resolution (California)
Any disputes shall be resolved through binding arbitration in California, except where prohibited by healthcare regulations.
You waive the right to participate in class actions, where permitted by law.
16. Governing Law
These Terms are governed by the laws of the State of California.
Venue for any permitted court action shall be in California.
